1. Acceptance of Terms

3. User Obligations and Prohibited Activities

• Attempt to gain unauthorized access to any portion of the Site, servers, databases, or systems associated with Wing Snob.
• Upload, transmit, or distribute viruses, malware, ransomware, or any other malicious code that may damage or interfere with the Site.
• Use automated tools, bots, scrapers, or similar technology to access, scrape, crawl, or extract data from the Site without our express written consent.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Site or any underlying software.
• Post, transmit, or share any content that is defamatory, harassing, obscene, threatening, invasive of privacy, or otherwise objectionable.
• Impersonate Wing Snob, our employees, or any other person or entity.
• Use the Site to send unsolicited commercial communications (spam).
• Attempt to interfere with, disable, or disrupt the proper functioning of the Site or any connected systems.
• Engage in any activity that imposes an unreasonable or disproportionately large load on our infrastructure or servers.
• Resell or commercially exploit any information, products, or services obtained through the Site without our express written permission.
• Circumvent or attempt to circumvent any security features of the Site.
• Collect or harvest personal information of other users from the Site.
• Use the Site in any manner that could damage, disable, or impair the reputation or goodwill of Wing Snob.

We reserve the right to investigate any suspected violations of these Terms and to take appropriate action, including but not limited to suspending or terminating your account, refusing service, and reporting violations to law enforcement authorities as permitted under applicable law.

4. Ordering, Payments, and Refund Policy

4.1 Order Placement and Acceptance

When you place an order through our Site, you are making an offer to purchase the selected food items at the listed prices. All orders are subject to acceptance by Wing Snob. We reserve the right to refuse or cancel any order for any reason, including but not limited to item unavailability, errors in pricing, or suspected fraudulent activity. You will be notified promptly if your order is canceled.

By submitting an order, you represent that all information provided, including your delivery address and payment details, is accurate and complete. Wing Snob is not responsible for orders that cannot be fulfilled due to inaccurate information provided by the customer.

4.2 Pricing

All prices displayed on the Site are in United States Dollars (USD) and are subject to applicable sales tax as required by federal, state, and local law. Prices may change at any time without prior notice. The price charged for an order will be the price in effect at the time the order is placed and confirmed.

We strive to ensure that all prices listed on the Site are accurate. However, in the event of a pricing error, we reserve the right to cancel the order and notify you of the correction. You will have the option to reorder at the correct price or receive a full refund.

4.3 Payment

We accept various forms of payment as indicated at checkout, which may include major credit cards, debit cards, and other electronic payment methods. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and that all payment information provided is accurate.

4.4 Refunds and Returns

Due to the perishable nature of food products, all sales are generally final. However, if you receive an incorrect, incomplete, or unsatisfactory order, you must contact us within twenty-four (24) hours of receiving your order at [email protected]. We will review your concern and, at our sole discretion, offer a replacement, store credit, or refund as appropriate. Refunds, when approved, will be processed using the original payment method within five to ten (5–10) business days.

5. Intellectual Property Rights

All content available on or through the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, menu designs, brand names, trademarks, service marks, trade dress, and the compilation of all such content (collectively, "Intellectual Property"), is the exclusive property of Wing Snob or its licensors and is protected by United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and applicable trademark and trade secret laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use in connection with placing orders and utilizing our Services. This license does not include:

The Wing Snob name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Wing Snob. You may not use such marks without our prior written permission.

We will investigate and respond to valid notices in accordance with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512.

6. User-Generated Content

If you submit reviews, comments, feedback, suggestions, photographs, or any other content to the Site ("User Content"), you grant Wing Snob a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media.

You represent and warrant that you own or have the necessary rights to submit such User Content and that it does not infringe upon the rights of any third party. Wing Snob reserves the right, but has no obligation, to monitor, edit, or remove any User Content at our sole discretion. You are solely responsible for all User Content you submit, and Wing Snob shall not be liable for any User Content submitted by you or any other user.

8. Disclaimers and "As-Is" Basis

THE SITE AND ALL SERVICES PROVIDED BY WING SNOB ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW. WING SNOB EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SITE, INCLUDING MENU DESCRIPTIONS, NUTRITIONAL INFORMATION, AND PRICING; AND
• WARRANTIES THAT DEFECTS IN THE SITE WILL BE CORRECTED.

WING SNOB DOES NOT WARRANT THAT THE FOOD PRODUCTS OFFERED WILL MEET YOUR SPECIFIC DIETARY REQUIREMENTS, ALLERGEN RESTRICTIONS, OR HEALTH NEEDS. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING INGREDIENT AND ALLERGEN INFORMATION AND CONSULTING WITH A MEDICAL PROFESSIONAL IF YOU HAVE SPECIFIC DIETARY CONCERNS. WE STRONGLY ENCOURAGE CUSTOMERS WITH FOOD ALLERGIES OR SENSITIVITIES TO CONTACT US DIRECTLY BEFORE PLACING AN ORDER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH CASES, WING SNOB'S WARRANTIES ARE LIMITED TO THE MINIMUM EXTENT PERMITTED BY APPLICABLE LAW.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL WING SNOB, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, SUBCONTRACTORS, OR SUCCESSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS;
• PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO OR USE OF THE SITE OR SERVICES;
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• CONDUCT OF ANY THIRD PARTY ON THE SITE; OR
• ANY OTHER MATTER ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES,

EVEN IF WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN JURISDICTIONS WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT ALLOWED, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

IN ALL CASES, WING SNOB'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The limitations of liability set forth in this section are a fundamental element of the basis of the bargain between Wing Snob and you. Wing Snob would not be able to provide the Services without these limitations.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its respective owners, officers, directors, employees, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation;
• Your use of the Site or Services, including any orders placed by you;
• Your violation of any third party's rights, including intellectual property rights or privacy rights;
• Any User Content you submit, post, or transmit through the Site;
• Your negligence, willful misconduct, or fraudulent activity; or
• Any dispute between you and a third party arising in connection with your use of our Services.

Wing Snob reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with Wing Snob in asserting any available defenses. You agree not to settle any such matter without the prior written consent of Wing Snob.

11. Food Safety and Allergen Notice

Wing Snob takes food safety seriously and strives to comply with all applicable federal and state food safety regulations, including the Food Safety Modernization Act (FSMA) and applicable state and local health codes. However, our food products are prepared in a kitchen environment that handles common allergens including, but not limited to, wheat, soy, dairy, eggs, tree nuts, peanuts, fish, and shellfish.

Wing Snob cannot guarantee that any menu item is completely free from cross-contamination with allergens. Customers with known food allergies or dietary restrictions are strongly encouraged to contact us directly at [email protected] before placing an order to discuss their specific needs. Wing Snob shall not be liable for any adverse reactions resulting from failure to disclose dietary restrictions or allergies prior to ordering.

12. Governing Law and Jurisdiction

These Terms of Service, your access to and use of the Site, and any dispute or claim arising out of or in connection with these Terms (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state in which Wing Snob principally operates, without regard to any conflict of law principles that would cause the application of laws of any other jurisdiction.

To the extent that any dispute is not subject to mandatory arbitration as set forth in Section 13, you irrevocably consent to the exclusive personal jurisdiction and venue of the federal and state courts located within the United States for the resolution of any disputes arising under or relating to these Terms. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

These Terms are also subject to applicable federal laws of the United States, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 45) governing unfair or deceptive acts or practices, the Computer Fraud and Abuse Act (18 U.S.C. § 1030), and the Digital Millennium Copyright Act (17 U.S.C. § 512).

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services informally by contacting Wing Snob at [email protected]. You and Wing Snob agree to negotiate in good faith for a period of at least thirty (30) days following notice of any dispute before resorting to formal dispute resolution mechanisms.

13.2 Binding Arbitration

If informal resolution fails, you and Wing Snob agree that any dispute, claim, or controversy arising out of or relating to these Terms, including the formation, interpretation, breach, termination, enforcement, or validity thereof, or your use of the Site or Services, shall be resolved by binding arbitration on an individual basis, rather than in a court of law, except as provided in Section 13.4 below.

The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall take place in the United States. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration provision. This arbitration provision shall survive the termination of these Terms.

13.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding. If this specific provision is found to be unenforceable, then the entirety of the arbitration provision in Section 13.2 shall be null and void.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. Small claims court actions, where eligible, are also excluded from the arbitration requirement.

14. Term and Termination

These Terms become effective when you first access the Site or use our Services and remain in full force and effect for as long as you continue to use the Site or Services, unless terminated earlier as set forth herein.

Wing Snob reserves the right, in its sole discretion, to suspend or terminate your access to the Site and Services, with or without cause and with or without notice, including if we believe that you have violated or acted inconsistently with these Terms, engaged in fraudulent activity, or acted in a manner harmful to Wing Snob or other users.

You may terminate your use of the Site and Services at any time by ceasing to access the Site and, if applicable, by closing your account by contacting us at [email protected].

Upon termination for any reason, all rights and licenses granted to you under these Terms will immediately cease. The following provisions shall survive termination: Intellectual Property Rights (Section 5), Disclaimers (Section 8), Limitation of Liability (Section 9), Indemnification (Section 10), Governing Law (Section 12), Dispute Resolution (Section 13), and all other provisions that by their nature should survive termination.

15. Privacy Policy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information. By using the Site and Services, you consent to the data practices described in our Privacy Policy.

Wing Snob is committed to protecting the privacy of its customers in compliance with applicable federal and state privacy laws, including the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) for California residents, and the Federal Trade Commission Act (15 U.S.C. § 45).

16. Changes to Terms of Service

Wing Snob reserves the right to modify, update, or revise these Terms at any time in its sole discretion. Please note that opting out of promotional communications will not prevent you from receiving transactional or service-related communications necessary to fulfill your orders.

18. Force Majeure

Wing Snob shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic events, government actions or restrictions, labor disputes, supply chain disruptions, internet or telecommunications failures, or any other event of force majeure. In such circumstances, Wing Snob's obligations shall be suspended for the duration of the force majeure event.

19. Severability

If any provision of these Terms is found by a court of competent jurisdiction or an arbitrator to be invalid, unlawful, void, or for any reason unenforceable, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of any remaining provisions. The severed provision shall be replaced with a valid and enforceable provision that most closely reflects the intent of the original provision. The remainder of these Terms shall continue in full force and effect.

20. Waiver

No waiver by Wing Snob of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Wing Snob to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver is only effective if made in writing and signed by an authorized representative of Wing Snob.

21. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by Wing Snob on the Site, constitute the entire agreement between you and Wing Snob with respect to your use of the Site and Services and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to such subject matter.

No representations, statements, or inducements, oral or written, not contained in these Terms shall bind either party. These Terms may not be modified except by a written instrument signed by an authorized representative of Wing Snob or as otherwise provided herein.

22. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without Wing Snob's prior written consent. Wing Snob may freely assign or transfer these Terms or any rights and obligations hereunder without restriction. Any purported assignment by you in violation of this section shall be null and void.
